OFX Pay By Card Agreement (Business)

These terms and conditions apply from 29 July 2025.

This Pay By Card Agreement (Business) contains the terms and conditions that govern the use of Pay By Card (the “Pay By Card Terms”), a business expense payment processing service offered by OzForex Limited trading as OFX (ABN 65 092 375 703) (“OFX”) to business Clients.

In these Pay By Card Terms, “you” and “your” refers to you as the Client, and “we,” “us” and “our” refer to OFX. By using Pay By Card, you agree and accept these Pay By Card Terms.

These Pay By Card Terms are Supplementary Terms under the OFX General Terms and Conditions (Business) (the “General Terms”) and must be read in conjunction with the General Terms and any other agreement which you have entered into with OFX and which may apply to your use of Pay By Card. If any inconsistency exists between these Pay By Card Terms and the General Terms, these Pay By Card Terms shall prevail. A reference to the General Terms means the legal agreement governing the provision of the Services, including Pay By Card. 

Capitalised terms not defined in these Pay By Card Terms have the meanings set forth in the General Terms.

These documents contain legal obligations for you and for us so you should read them carefully to make sure you understand them.

You can get a copy of the General Terms and these Pay By Card Terms at any time by emailing us at business@ofx.com.  By using or attempting to use Pay By Card you confirm that you accept and agree to these Pay By Card Terms as amended from time to time by us in accordance with these Pay By Card Terms or the General Terms.  If you do not agree or wish to accept these Pay By Card Terms, you may not use Pay By Card.

  1. The OFX Pay By Card Service

Pay By Card is a Payment Service under which we process payment of a business expense to an eligible Payee on your behalf in accordance with your Instruction and charge the amount of the Payment and our Fee to an Eligible Card. We are acting as an intermediary when we provide a Payment Service though Pay By Card and our responsibility is limited to making a Payment to a Payee on your behalf in accordance with your Instruction.

We are not responsible for your dealings with Payees or for the goods and services for which we have made a Payment in accordance with your Instruction, including in the case of non-delivery or other non-performance by the Payee, unavailability of or defects in such goods and services. We make no representations and accept no liability in relation to any such matters, which must be resolved by you directly with the Payee.

  1. Use of Pay By Card Service

Pay By Card can be used by business Clients holding an Eligible Card to arrange payment of business expenses to eligible Payees. Pay By Card is not available for payment of personal expenses.

We may, in our sole discretion, refuse to accept an Instruction or pay a Payee including in the circumstances described in the General Terms and in paragraph 3 of these Pay By Card Terms. We may place limits on your use of Pay By Card, including by imposing transaction limits, restricting Payments and/or restricting Payees.  We are not obliged to provide you with reasons for our decisions. 

Nothing in these Pay By Card Terms limits any rights we may have to cancel a transaction or Service, or to terminate your account under the General Terms.

  1. Eligible Payees and Payments

We can only make a Payment on your behalf to a supplier of goods and services (“Payee”) that meets the requirements of the relevant Card Issuer and our requirements as set out in the General Terms.

If you nominate an Eligible Card that is an Amex Card:

  • the Payee must hold an active ABN;
  • the Payee must have issued you with a Tax Invoice for the amount of the Payment charged in Australian dollars for goods and services supplied in Australia; and
  • the Payment can only be made to the Payee via BPAY or to a Recipient Account held by the Payee with a bank in Australia.
  1. Instructions to Make a Payment

To initiate a Payment using Pay By Card, you or an Authorised User must log into your Business Account via the Secure Website  and provide us with an Instruction containing the following information: 

  • the name and ABN of the Payee; and trading name if different;
  • the Payee’s e-mail address;
  • the Payee’s address including city, state, country and postal code;
  • the details of the Payee’s BPAY details or the Recipient Account including the name of the account, the BSB and account number;
  • the date on which the Payment is to be remitted (which must be a Business Day), subject to these Pay By Card Terms;
  • the amount of the Payment that you authorise us to pay the Payee on your behalf; and
  • the details of the Eligible Card to which you authorise us to charge the Payment and our Fee, including the cardholder name, card number, card expiry date and card security code.

An Instruction cannot be withdrawn or changed once it has been received.

We may request further information regarding the Payee and the Payment specified in the Instruction. Any delay on your part in providing this information may delay the Payment or result in the Instruction being rejected. We accept no liability in respect of any such delay or rejection. 

  1. Verification and Authorisation of Payments

We will verify your Instruction, validate the nominated Eligible Card with the relevant Card Scheme and obtain authorisation from the relevant Card Issuer in respect of the Payment specified in the Instruction (“Payment Approval Requirements”).

Upon submitting an Instruction to us, you are providing unconditional authority for us to: 

  • pay the amount of the Payment specified in the Instruction to the Payee on your behalf;
  • charge the amount of the Payment specified in the Instruction plus our Fee to the nominated Eligible Card and receive funds from the Card Issuer in respect of the charge; and
  • issue a Tax Invoice to you in our name for our Fee together with a remittance advice confirming payment to the Payee.  

You may set up and store information regarding Payees in your Business Account. It is your responsibility to ensure this information is accurate and complete. 

  1. Processing Payments to Payees

We will use reasonable endeavours to obtain the relevant Card Issuer’s authorisation and remit the Payment to the Payee on your behalf on the same Business Day we receive your Instruction or (if later) on the Business Day requested in your Instruction, except where:

  • we refuse to accept the Instruction or cancel the transaction;
  • the Payment Approval Requirements are not satisfied in respect of the Payment;
  • you fail to provide any further information that we may request such that the Payment Approval Requirements in respect of the Payment cannot be satisfied in a timely manner; or
  • there is a technical issue that prevents us from remitting the Payment,

in which case we will notify you that the Payment has not been remitted and will process a refund if we have charged your nominated Eligible Card.

The amount of the Payment and Fee charged to your nominated Eligible Card will be displayed on your card statement as transactions with OFX.

If you nominate an Eligible Card that is an Amex Card, we will hold the amount charged to your Amex Card on trust for Amex until the relevant Instruction has been completed.

We do not guarantee and make no representation regarding the timing of when a Payment will be made or received by the relevant Payee. This is at your own risk. To the maximum extent permitted under Australian law, we disclaim any liability in respect of late Payments (including in respect of any loss you may incur for late payment fees or foregone early payment discounts) irrespective of whether we, any Card Scheme, Card Issuer, financial institution or their respective agents are responsible for the delay.

  1. Refunds

We will not refund any amount that we have charged to an Eligible Card except where you are entitled to a refund under paragraph 6 of these Pay By Card Terms or if we have not followed your Instruction correctly, and you have notified us in writing within 20 Business Days of the event giving rise to your entitlement to a refund. 

If you are entitled to a refund from us under these Pay By Card Terms, we will credit the relevant amount charged to the Eligible Card (including our Fee) to your Business Account .   You agree to provide us with any information reasonably requested by us in relation to your entitlement to a refund from us under these Pay By Card Terms.

If we unduly delay the crediting of your Business Account in respect of such refund, notwithstanding paragraph 8 of these Pay By Card Terms you may request a refund or chargeback from the Card Issuer in accordance with your agreement with them.

  1. Chargebacks and disputes

To the maximum extent permitted under Australian law, you agree to resolve any matter related to a Payment with us in the first instance and not with the Card Issuer, including where:

  1. you made an error in the Instruction or believe we made an error in processing the Instruction;
  2. you believe the Instruction was submitted without authority or as part of a scam or fraud;
  3. you believe that you are entitled to a refund under these Pay By Card Terms;
  4. you and the Payee are in a dispute regarding the Payment to which the Instruction relates; or
  5. you have not received some or all of the goods or services to which the Payment relates, the delivery of such goods and services has been delayed or you are not satisfied with the quality or performance of such goods or services.

You agree to promptly notify us in writing if any of the circumstances described in paragraphs 8(a)-(d)  arise and will provide us with any information reasonably requested by us in relation to those circumstances, which we may share with the relevant Card Issuer any and intermediary we use to process Payments on your behalf.

You agree to pay us the amount charged back to OFX by a Card Issuer in respect of any refund to which you are not entitled under these Pay By Card Terms.   You authorise us to deduct such amount from the available Balance in your OFX Global Account.

  1. Fees

Details of the Fees we charge for processing Payments via Pay By Card are set out in the  Product Disclosure Statement (“PDS”) and the OFX Subscription Agreement (Business).  The Fees are charged by OFX and are not required by the Card Issuers. You agree to pay our Fee in respect of each Instruction.

Our Fee for processing a Payment in accordance with an Instruction is due and payable and charged to the Eligible Card on the Payment Date. Our Fees are separate to and in addition to any fees that the relevant Card Issuer may charge in accordance with your agreement with them, including late payment or dishonour fees. 

Except as provided in these Pay By Card Terms, our Fees are not refundable including where a Payee agrees to provide a refund of part or all of the Payment made to that Payee pursuant to an Instruction.

  1. Rewards

You may be eligible to earn Rewards when you use your Eligible Card to make a Payment via Pay By Card, however we do not guarantee or make any representation that you will earn any Rewards.

Your ability to earn Rewards by using an Eligible Card depends on the terms and conditions of the relevant Rewards Program.  You are responsible for reviewing the terms and conditions that apply to the relevant Rewards Program and resolving any queries or disputes regarding Rewards directly with the administrator of the relevant Rewards Program.

GLOSSARY

ABN means an Australian Business Number.

Amex Card means a card or account access capability issued in Australia by American Express Australia Limited ACN 108 952 085 or its affiliates or an authorised third party of any such entities.

Card Issuer means the entity licensed by the relevant Card Scheme to issue an Eligible Card to you or an Authorised User.

Card Scheme means a system or network that establishes and operates a payment infrastructure for processing transactions between merchants, holders of credit cards and debit cards, issuers, and acquirers.

Eligible Card means a credit card or debit card of the type available to be added as a payment method in the Payments section of your Business Account and issued to you or an Authorised User by a licensed Card Issuer in Australia.

Payee has the meaning given in paragraph 3 of these Pay By Card Terms.

Rewards means points or other rewards earned under a Rewards Program.

Rewards Program means a customer loyalty program that offers members the opportunity to earn points, discounts or other benefits in respect of expenditure by a member using an Eligible Card in accordance with the terms and conditions of the program.

Tax Invoice has the meaning given under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
